These Terms & Conditions ("Terms") govern the use of this website and the procurement and HR consultancy services ("Services") provided by Omnisphere Trading and Consulting FZC LLC ("Omnisphere," "we," "us"), a company registered in the United Arab Emirates. By accessing this website or engaging Omnisphere's Services, you ("Client") agree to be bound by these Terms.
Omnisphere provides procurement consultancy (including sourcing, vendor management, spend analysis and category management) and HR consultancy (including HR setup, recruitment support, policy development and compliance advisory). Omnisphere acts as an advisor and coordinator; unless otherwise agreed in writing, Omnisphere does not act as the Client's employer of record, payroll processor, or guarantee specific vendor pricing outside of a formal quotation.
Payment terms will be specified in each proposal or agreement. Unless otherwise agreed, invoices are due within the timeframe stated on the invoice. Late payments may result in delayed delivery or suspension of ongoing services, as permitted under UAE commercial law.
HR consultancy services provided by Omnisphere are advisory in nature. The Client remains the legal employer and is responsible for final compliance with UAE labor law, MoHRE regulations, and any government filings, even where Omnisphere assists in preparing documentation or recommendations.
The Client agrees to provide accurate information relevant to each engagement. Omnisphere is not responsible for errors, delays, or additional costs arising from incomplete or inaccurate information provided by the Client.
All content on this website, including text, graphics, and design, is the property of Omnisphere unless otherwise credited, and may not be reproduced without written permission. Deliverables prepared specifically for a Client under a paid engagement (such as policies or sourcing strategies) belong to that Client upon full payment, unless otherwise agreed.
Both parties agree to keep confidential any non-public business or personnel information shared in connection with an engagement, and not to disclose it to third parties except as required to fulfil the Services or by law.
To the maximum extent permitted under UAE law, Omnisphere's total liability arising from any engagement shall not exceed the total fees paid by the Client for the specific engagement giving rise to the claim. Omnisphere is not liable for indirect, incidental, or consequential losses, including loss of profit or business opportunity.
Neither party shall be liable for failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to natural disasters, government action, or third-party supplier failures.
Either party may terminate an ongoing engagement with written notice. Fees for work completed or in progress at the time of termination remain payable in accordance with the agreed terms.
These Terms are governed by the federal laws of the United Arab Emirates and the laws of the Emirate of Ajman, without regard to conflict-of-law principles. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts of Ajman, UAE, unless the parties agree in writing to an alternative dispute resolution mechanism.
Omnisphere may update these Terms from time to time. Continued use of the website or Services after changes are posted constitutes acceptance of the revised Terms.
